2. Who These Terms Apply To
These Terms apply to both:
- customers purchasing goods mainly for personal use (“Consumers”); and
- companies’ organizations, sole traders and other customers purchasing goods wholly or mainly for business purposes (“Business Customers”).
Some legal rights apply to Consumers. Where a section applies specifically to either Consumers or Business Customers we make this clear.
Separate or additional terms may apply to volume, factory-direct, bespoke, customised or individually negotiated trade orders. Where this happens those terms will be provided before the relevant order is confirmed.
3. Our Products
We make efforts to ensure that product descriptions, specifications, dimensions, GSM, materials, colors, photographs and other information displayed on our website are accurate.
However, textile products may have variations between batches.
For example, there may be differences in:
- color or shade
- texture
- weave
- dimensions
- weight
- stitching
- finishing or
- appearance on different screens and devices.
These normal manufacturing or material variations will not normally be considered defects where the product otherwise materially matches its description.
Images on the website are intended to provide a representation of our products but may not always reproduce colors or scale exactly.
Product packaging may also vary from images shown online.
4. Product Availability
All products are subject to availability.
Adding an item to your basket does not reserve it.
If a product becomes unavailable after you place an order we may contact you to:
- offer an alternative
- offer a revised delivery date
- remove the unavailable item from the order or
- cancel the affected item and issue a refund.
We will not substitute a different product without your agreement.
5. Prices and VAT
Prices are displayed in pounds sterling (£) unless stated otherwise.
Where applicable our website may display both:
- prices including VAT and
- prices excluding VAT.
The price payable will be the price shown during checkout when your order is placed with any applicable delivery charges, taxes or other charges clearly disclosed before payment.
We take care to ensure pricing is correct. However genuine pricing or technical errors may occasionally occur.
If an obvious pricing error is discovered before an order has been accepted or dispatched, we may cancel the affected item. Refund any payment made or contact you to offer the product at the correct price.
6. Placing an Order
When you place an order through our website you are making an offer to purchase the products in your order.
After receiving your order we may send an acknowledgement confirming that we have received it.
An acknowledgement of your order does not necessarily mean that the order has been accepted.
A binding contract is formed when we confirm acceptance of your order or dispatch the goods, whichever occurs first.
We reserve the right to refuse or cancel an order where reasonably necessary including where:
- a product’s unavailable
- payment cannot be authorized
- incorrect pricing or product information has been displayed
- we reasonably suspect fraud or misuse
- delivery cannot reasonably be made to the address supplied or
- the order breaches these Terms.
- If we cancel an order after payment has been taken the applicable amount will be refunded.
7. Payment
Available payment methods will be displayed during checkout.
Payment must be made using a payment method.
By providing payment details you confirm that you are authorized to use the payment method.
Payments may be processed by third-party payment providers. Their own security and processing terms may also apply.
We do not guarantee that every payment method will always be available.
For Business Customer, bespoke or large-volume orders we may agree alternative payment arrangements, deposits, invoices or payment schedules in writing.
8. Delivery
Available delivery options, charges and estimated delivery times will normally be shown during checkout. Provided in a quotation.
Delivery dates and times are estimates unless we expressly agree otherwise in writing.
We will make efforts to deliver orders within the stated timeframe.
For Consumer orders we will comply with legal requirements concerning delivery.
Delays may occasionally occur due to circumstances outside our control including courier delays, adverse weather, transport disruption, customs delays, supply-chain disruption or other unforeseen events.
Please ensure that the delivery address supplied with your order is complete and accurate.
We are not responsible for delays or additional costs caused by incomplete delivery information supplied by the customer.
9. Risk and Ownership
Consumers
Risk in the goods normally passes to you when the goods are physically delivered to you or to a person nominated by you to receive them.
Business Customers
Unless otherwise agreed in writing risk passes to the Business Customer upon delivery.
Ownership of goods supplied to a Business Customer may remain with TH Mills until we have received payment in full for the goods.
10. Checking Your Delivery
Please inspect your order after delivery.
If an item appears damaged, incorrect or incomplete contact us soon as reasonably possible and provide:
- your order number
- details of the problem; and
- photographs where appropriate.
Reporting an issue promptly helps us investigate it with our warehouse or delivery partner.
Nothing in this section reduces the rights of Consumers.
11. Consumer Cancellation Rights
If you are a Consumer purchasing online you may have a right to cancel your contract without giving a reason.
For eligible goods the statutory cancellation period is 14 days beginning on the day after you or a person nominated by you receives the goods.
If one order is delivered in separate deliveries the period generally begins after the final relevant item is received.
To exercise your cancellation right you must clearly tell us that you wish to cancel.
You may contact us using the details at the end of these Terms.
Once you have notified us that you are cancelling eligible goods must normally be returned within the period required by law.
12. TH Mills 30-Day Returns Policy
In addition to statutory rights TH Mills currently offers a 30-day returns period for eligible standard products.
Unless the product is faulty, incorrect or otherwise covered by your rights returned products should:
- be unused
- be unwashed
- be in resaleable condition
- contain all relevant packaging, labels and accessories where reasonably possible and
- not have been altered, customized or personalized.
Please contact us before sending a return so that we can provide the return instructions.
Our voluntary 30-day returns policy does not. Restrict any statutory rights you may have.
13. Return Delivery Costs
Where a Consumer simply changes their mind and exercises a cancellation right the customer may be responsible for the cost of returning the goods unless:
- we have agreed to pay the return cost
- the goods are faulty
- the goods are not as described
- the wrong goods were supplied or
- applicable law requires us to bear the cost.
For heavy or commercial-volume orders return transportation costs may be significant. Where legally required relevant information about costs will be provided before purchase.
Please obtain proof of postage or collection when returning goods.
14. Refunds
Where a refund is due following a Consumer cancellation we will process it in accordance with applicable law.
Refunds will normally be made using the payment method used for the original purchase unless otherwise agreed.
Where permitted by law we may reduce a refund to reflect a reduction in the value of goods caused by handling beyond what would be necessary to establish their nature, characteristics and functioning.
Any enhanced delivery charge selected above our delivery option does not necessarily have to be refunded.
Separate arrangements may apply to Business Customer returns.
15. Faulty, Damaged or Incorrect Goods
We are under a duty to supply Consumer goods that conform to the contract.
Consumer products must where applicable be:
- of quality
- as described and
- fit for a particular purpose where that purpose has been made known to us and legally forms part of the contract.
If you believe an item is faulty damaged, materially different from its description or incorrectly supplied please contact us.
Depending on the circumstances and your legal rights an appropriate remedy may include:
- repair
- replacement
- price reduction or
- refund.
These rights are separate from our voluntary 30-day returns policy.
16. Products That May Not Be Eligible for Change-of-Mind Returns
Certain products may be excluded from cancellation or voluntary returns where permitted by law including:
- products made to your specifications
- embroidered products
- bespoke products
- specially manufactured commercial orders and
- sealed goods that are not suitable for return for health or hygiene reasons where the applicable legal requirements, for that exception are satisfied.
This does not affect your rights if products are faulty incorrectly described or do not meet the law.
17. Bespoke and Customized Orders
Custom manufacturing, embroidery, branding, special colors, special dimensions and other bespoke orders may need approval longer production times and different payment terms.
You must. Approve all artwork, wording, dimensions, colors, specifications or proofs provided for your review.
Once production or customization begins, cancellation or changes may not be possible.
Any specific terms in a quotation or written order confirmation will form part of the contract. If there is a conflict those terms will take priority over these Terms for that order.
Nothing in this section removes rights that cannot be legally removed.
18. Trade and Business Orders
Business Customers buying goods for use understand that products may be used repeatedly and may need laundering depending on the product specifications.
Business Customers must decide if a product is suitable for their intended use.
For orders we recommend checking the product specification or asking for more information before ordering.
Quotes, invoices, purchase orders or other agreed terms may include rules about:
- Minimum order quantities
- Volume pricing
- Deposits
- Lead times
- Delivery
- Samples
- Production tolerances
- Customization
- Cancellation
Where written trade terms are agreed separately those terms will apply instead of these general Terms for that Business Customer order.
Consumer cancellation rights do not apply to purchases made mainly for business purposes.
19. Factory-Direct and Third-Party Trade Orders
TH Mills may provide links or referrals for large container-scale factory-direct or specialist supply requests.
These orders may be supplied by another company or through a website.
If you make a contract with another business that business’s own terms, privacy policy, payment terms and delivery arrangements will apply.
